Welcome to Atlanta Imp & Exp, a peer-to-peer (P2P) marketplace that connects wine
enthusiasts for the purchase and sale of wines. By accessing or using our Platform,
you agree to comply with and be bound by these TERMS OF USE.
Please read them carefully before using the services.

1. Eligibility

You must be of legal drinking age in your jurisdiction to use this Platform. By using the
services, you confirm that you meet this legal requirement.​

2. Platform Role and Authentication

Atlanta Imp & Exp is an online marketplace that mediates wines from third parties,
curated by a specialized team. Upon receiving a product, the team evaluates,
authenticates and then displays the item on the Platform.

3. Registration and User Account

• Buyers and Sellers must provide accurate, complete, and updated information during registration. (Registration Form and User Account)

• Each user is responsible for maintaining the confidentiality of their login credentials.

• The Platform may suspend or terminate accounts in case of fraud, misuse, or violation of these Terms.

4. Seller Obligations

Sellers using the Platform agree to:

• Compliance with Laws: Seller is solely responsible for the accuracy of product descriptions, quality of goods, and compliance with local laws.

• Product Authenticity: Guarantee that all wines listed are authentic, in good conditions and within valid expiration dates.

• Accurate Descriptions: Provide truthful and complete product information, including year, type, volume and conditions.

• Taxes: Be responsible for paying any applicable taxes. 

• Return Handling: Accept returns and process refunds in accordance with Return and Refund Policy.

• Chargebacks and Disputes: Cooperate with the Platform in cases of disputes, chargebacks, or complaints, providing necessary evidence.

• Prohibited Products: Refrain from selling counterfeit, expired, stolen, or adulterated wines.

5. Payment Methods

• Accepted Methods: Payments may be made using Credit Cards or any other method made available by the Platform.

• Third-Party Processors: Payments are processed through third-party payment service providers. By completing a purchase, you agree to their terms and conditions.

• Authorization: By providing your payment information, you authorize the Platform to process the payment for your order.

• Security: The Platform uses secure encryption protocols to protect payment data but shall not be liable for breaches occurring due to factors beyond its control.

• Payment Confirmation: Orders are considered confirmed only after payment authorization by the financial institution or payment processor.

• Failed Payments: If a payment is declined the Buyer will be notified and the order will not be processed.

6. Delivery and Shipping Policy

• Shipping Responsibility: Platform is responsible for preparing and shipping the purchased wines.

• Shipping Costs: Shipping costs will be clearly displayed before purchase and are the Buyer’s responsibility unless otherwise stated.

• Delivery Partners: Deliveries may be made through third-party logistics providers chosen by the Platform.

• Risk of Loss: Risk of damage or loss transfers to the Buyer upon delivery by the carrier.

7. Delivery Time

• Estimated Delivery: The delivery time for products varies depending on the Buyer’s location, the payment method chosen and the availability of the product purchased.​

• Delays: Platform is not liable for delays caused by carriers, customs or force majeure events.​

8. Cancellation Policy

• Before Shipment: Buyers may cancel their order before the Platform confirms shipment. Refunds will be issued in accordance with the payment provider’s policy.

• After Shipment: Orders cannot be canceled once shipped. Buyers may instead request a return under the Return and Return Policy, if eligible.

9. Return and Refund Policy

• Eligibility: Returns are accepted only if the product is damaged, incorrect, or not as described.

• Notification Period: Buyers must notify the Platform within 7 days of delivery to request a return.

• Condition of Return: Returned items must remain unopened and in their original packaging.

• Refund Process: Refunds will be issued after the Platform confirms receipt of the returned product. Shipping costs for returns are the Buyer’s responsibility unless the Seller is at fault.

10. Seller Compensation and Commission

• Commission Fee: The Platform charges sellers a 20% commission on the total value of each completed transaction, excluding shipping costs.

• Payment Schedule: Seller payouts will be processed on average within 30 (thirty) calendar days after delivery confirmation.

• Payment Method: Payouts will be made to the Seller’s registered bank account.

• Adjustments: Any refunds, chargebacks, or cancellations will be deducted from
  the Seller’s balance or future payouts.

• Withholding Right: The Platform reserves the right to withhold payments temporarily in cases of disputes, suspected fraud, or violation of these Terms of Use until the matter is resolved.

11. Prohibited Activities

You agree not to:

• Sell counterfeit, stolen or expired wines.

• Misrepresent product details.

• Use the Platform for illegal transactions.

• Circumvent payment processes.

12. Limitation of Liability

Atlanta Imp & Exp is not responsible for:

• The quality, authenticity, or legality of wines listed by Sellers.

• Damages arising from transactions between Buyers and Sellers.

• Delays, damages, or losses during shipping.

​

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Buyers
and Sellers Jurisdiction.
